Terms of Service

Please read these Terms of Service ("Terms") carefully before using the websites, applications, and services operated by DearHim, Inc. ("DearHim," "DearHer," "DearUs," "we," "us," or "our"), including dearhim.ai, dearher.ai, dearus.ai, and all related features, tools, AI companion services, dating intelligence tools, matchmaking services, and content (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Quick Summary (provided for clarity but does not replace the full Terms below): You must be 18+. AI characters are not real people. DearUs introduces you to real people; you meet them at your own risk. We don't refund except where required by law (state-specific exceptions noted below). Disputes go to arbitration unless you opt out.

1. Eligibility

1.1 Age Requirement

You must be at least 18 years of age to use the Service. By creating an account or using the Service, you represent and warrant that you are at least 18 years old. If we learn that a user is under 18, we will immediately terminate the account and delete the data.

1.2 Legal Capacity

You represent that you have the legal capacity to enter into a binding agreement and are not barred from using the Service under any applicable law.

1.3 Geographic Restrictions

The Service is available where not prohibited by law. DearUs matchmaking is available in [SPECIFIC US STATES — TO BE FINALIZED] and may not be available in all jurisdictions. You are responsible for compliance with local laws.

1.4 Sex Offender Restriction

You may not use DearUs if you are required to register as a sex offender under applicable federal, state, or local law. Use of DearUs in violation of this restriction is a material breach of these Terms and may result in immediate termination, refund denial, and referral to law enforcement.

We do not currently conduct criminal background checks on DearUs members. You should not assume any DearUs member has been screened for criminal history, sex offender status, or marital status. See Section 9 (DearUs Safety) for additional information.

2. Artificial Intelligence Disclosure

2.1 AI-Generated Content (Companion Features)

All characters on the DearHim and DearHer companion platforms are AI-generated. They are not real people. You are interacting with artificial intelligence, not a human being.

All character names, personalities, backstories, physical descriptions, and images are entirely fictional. Character responses are generated by large language models. Character voices are generated by text-to-speech. Character photos are AI-generated. No real person's likeness is used.

2.2 DearUs Connects Real People

DearUs is materially different from the AI companion features. DearUs introduces you to real human users. When you match with someone on DearUs, you are communicating with a real person, not an AI character. The matchmaking algorithm is automated, but the matches are real humans.

2.3 No Professional Advice

The Service does not provide and is not a substitute for professional advice, including:

Mental health counseling, therapy, or psychiatric treatment.
Medical advice, diagnosis, or treatment.
Legal advice or legal representation.
Financial advice.
Matchmaking advice or therapy from a licensed counselor. DearUs is a technology service that suggests matches based on data; it is not a counseling or therapy service.

AI character responses, including Wingman text analysis, dating advice, reply suggestions, and DearUs match suggestions, are provided for entertainment and informational purposes only and should not be relied upon as professional guidance.

2.4 No Guarantee of Accuracy

AI-generated content may contain errors, inaccuracies, biases, or inappropriate content. We make no representations or warranties regarding the accuracy, completeness, reliability, or suitability of any AI-generated content or DearUs match suggestions.

2.5 Suitability Warning

Companion chatbots and matchmaking services may not be suitable for all users. If you experience distress, discomfort, or negative psychological effects, discontinue use and seek support from a qualified professional or crisis service provider.

3. Account Registration and Security

3.1 Account Creation

To use certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep it accurate.

3.2 Account Security

You are responsible for maintaining confidentiality of your credentials and for all activities under your account. Notify support@dearhim.ai immediately of any unauthorized use.

3.3 One Account Per Person

Each individual may maintain only one account per product. We reserve the right to terminate duplicate accounts.

3.4 Account Termination by User

You may delete your account at any time through the Service or by contacting support@dearhim.ai.

4. Subscription Plans and Payments

4.1 Free and Paid Plans

The Service offers free and paid plans. Free plans provide limited access. Paid plans ("Pro," "Premium," "DearUs," "DearUs Concierge") provide expanded access as described at /settings/pricing.

4.2 Pricing

Current pricing at /settings/pricing. We reserve the right to change pricing. Price changes for existing subscribers take effect at the start of the next billing cycle after notice.

4.3 Billing

Paid subscriptions are billed in advance monthly or annually through Stripe. By subscribing, you authorize charges to the payment method on file.

4.4 Automatic Renewal Disclosure

By subscribing, you acknowledge and agree that:

Your subscription will automatically renew at the end of each billing period (monthly or annually).
Renewal will continue until you cancel.
Your payment method will be charged the then-current subscription price at each renewal, plus applicable taxes.
You may cancel at any time before the next billing date through your account settings.

You will be sent renewal reminders by email at least 7 days before annual renewals at the email address on file. Cancellation takes effect at the end of the current billing period — you continue to have access to paid features until the end of the period you have already paid for.

To cancel: log in → Account Settings → Subscription → Cancel. Or email support@dearhim.ai with "Cancel Subscription" in the subject line.

4.5 Refund Policy

All fees are non-refundable except as required by applicable law and as described in Section 4.6 (DearUs cooling-off rights). We do not provide refunds for partial subscription periods, unused features, or content available during an active subscription. If you believe you were charged in error, contact support@dearhim.ai within 14 days.

4.6 DearUs Cancellation Rights — California, New York, Illinois, and Other Dating Service Statutes

If you subscribe to DearUs and reside in California, New York, Illinois, Michigan, Ohio, North Carolina, Wisconsin, or another state with a Dating Service Contract Act, you have additional rights:

Right to Cancel Within Three (3) Business Days:

You have the right to cancel your DearUs subscription, without penalty or obligation, within three (3) business days after the date you signed up. To exercise this right, send a written notice (email is acceptable) to legal@dearhim.ai with the subject "DearUs Cancellation" and include your name, account email, and a clear statement that you are canceling.

If you cancel within three business days, we will refund the full amount you paid within ten (10) business days.

Maximum Contract Duration:

Per California Civil Code §1694 et seq. and similar statutes, the maximum DearUs contract duration is two (2) years. Annual subscriptions automatically renew for additional one-year periods unless canceled.

Cancellation Upon Death or Disability:

If a DearUs subscriber dies or becomes physically or mentally disabled to the extent that they cannot use the Service, the subscriber or their representative may cancel the subscription and receive a pro-rata refund for the unused portion of the contract term. Submit documentation to legal@dearhim.ai.

Cancellation Upon Relocation:

If you relocate more than 50 miles from your registered location and DearUs cannot effectively provide matches in your new location, you may cancel and receive a pro-rata refund. Submit relocation documentation to legal@dearhim.ai.

4.7 One-Time Purchases and Credits

One-time purchases (character unlocks, DearUs Concierge introduction packages) and credits are non-refundable except as required by Section 4.6. Credits have no cash value and expire 12 months after purchase.

DearUs Concierge purchases: Concierge introduction packages are subject to the same 3-business-day cooling-off period in Section 4.6 if you are in a state with a Dating Service Contract Act.

4.8 Free Trial

If we offer a free trial, you will not be charged during the trial. Unless you cancel before the trial ends, your subscription will automatically convert to paid at the then-current rate.

4.9 Price Increases

We may increase prices upon at least 30 days' notice. If you do not agree, you may cancel before the increase takes effect.

5. Content and Conduct

5.1 Your Content

"Your Content" means text, messages, images, voice notes, profile information, and other materials you submit, including messages to AI characters, content submitted to Wingman, profile content for DearUs, and messages to DearUs matches.

You retain ownership of Your Content. By submitting Your Content, you grant DearHim a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, process, adapt, and display Your Content solely for operating, providing, improving, and developing the Service. For DearUs profile content, this license also permits us to display your profile to other DearUs members consistent with your visibility settings. This license terminates when you delete Your Content or your account, except for content already in aggregated/anonymized datasets.

5.2 Prohibited Conduct

You agree not to use the Service to:

Violate any applicable law, regulation, or third-party right.
Provide false or misleading information during registration or on your profile (including DearUs profile photos that are not of you).
Impersonate any person or entity.
Engage in activity that could harm, disable, overburden, or impair the Service.
Attempt unauthorized access to any part of the Service, other accounts, or connected systems.
Harass, abuse, threaten, or intimidate any person, including AI characters as a proxy for threats directed at real individuals.
Generate, store, or distribute content that depicts or promotes child sexual abuse or exploitation of minors.
Use automated scripts, bots, or scrapers without express written permission.
Reverse engineer, decompile, or attempt to derive source code or algorithms.
Resell, redistribute, or sublicense the Service.
Develop competing products or services using the Service.
(DearUs) Use DearUs for commercial solicitation, sex work, escort services, multi-level marketing, fraud, or any activity other than personal romantic connection.
(DearUs) Solicit money, financial information, or sensitive personal information from other members.
(DearUs) Use photos that are not of you, or photos of you taken more than 2 years ago, on your DearUs profile.
(DearUs) Misrepresent your age, marital status, gender, location, or other material profile information.
(DearUs) Use the Service while currently married or in a committed relationship without disclosure to potential matches.
(DearUs) Stalk, harass, or contact a member who has unmatched, blocked, or asked you to stop.
(DearUs) Share another member's photos, messages, or personal information outside the Service without their consent.

5.3 Intimate and Sexually Explicit Content (AI Companion Only)

The AI companion features may include AI-generated NSFW content as an optional feature for adult users. By enabling "Allow Deeper Intimacy," you represent and warrant:

You are at least 18 years of age.
You access this content in a jurisdiction where legal.
You understand all NSFW content is AI-generated and fictional.
You consent to AI-generated content of an intimate or sexual nature.

DearUs does not include AI-generated intimate content. Communication between DearUs members is between real humans and is governed by Section 5.2 (Prohibited Conduct) and the Community Guidelines.

5.4 AI-Generated Content Ownership

AI-generated content is provided for personal, non-commercial use. You may share Wingman decode cards through the Service's sharing features. You may not use AI-generated content for commercial purposes without express written permission.

5.5 Member-to-Member Conduct (DearUs)

DearUs members agree to interact with respect and honesty. Specifically:

Treat all members with dignity. No harassment, hate speech, or threats.
Do not request, send, or solicit explicit images.
Disclose material facts about yourself accurately (e.g., relationship status, age range, general location).
Respect another member's "no" — whether to a date, communication, intimacy, or anything else.
Report concerning behavior to trust@dearus.ai.

Violations may result in account suspension, termination, and reporting to law enforcement where appropriate.

6. Intellectual Property

6.1 Our Intellectual Property

The Service and its design, text, graphics, logos, AI models, character designs, character names, and content are the property of DearHim, Inc. or its licensors and are protected by intellectual property laws.

6.2 Trademarks

"DearHim," "DearHer," "DearUs," "Wingman," and related logos are trademarks of DearHim, Inc.

6.3 Limited License

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for personal, non-commercial use.

6.4 Feedback

Feedback you provide grants us an unrestricted, perpetual, royalty-free license to use it without compensation.

6.5 DMCA / Copyright Infringement

If you believe content on the Service infringes your copyright, send a DMCA notice to dmca@dearhim.ai. Full DMCA policy at /dmca.

7. SMS Messaging Terms

7.1 Opt-In

By providing your phone number and checking the consent box, you agree to receive SMS messages from DearHim, including character messages, dating insights, Wingman follow-ups, DearUs match notifications, and account notifications.

7.2 Frequency

Frequency varies. Up to several messages per day.

7.3 Opt-Out

Reply STOP to any message or disable "Text Me" in account settings. Reply HELP for support.

7.4 Costs

Message and data rates may apply.

7.5 Carrier Liability

Carriers are not liable for delayed or undelivered messages.

7.6 Privacy

We do not sell, share, or use your phone number for third-party marketing. See Privacy Policy.

8. Crisis Prevention and Mental Health

8.1 Crisis Protocol

In compliance with California SB 243, we maintain protocols for detecting expressions of suicidal ideation, suicide, or self-harm content. When detected, we:

Provide a notification referring to crisis providers (988, Crisis Text Line).
Prevent the AI from generating content that encourages, promotes, or facilitates suicidal ideation, suicide, or self-harm.

8.2 Published Protocol

8.3 Limitation

The Service is not a mental health service and is not a substitute for professional mental health care. AI systems are not infallible. If you are in crisis, contact 988 (Lifeline), text HOME to 741741, or call 911.

9. DearUs Safety Disclosures

9.1 No Background Checks

WE DO NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON DEARUS MEMBERS. DEARUS DOES NOT VERIFY THAT MEMBERS ARE NOT REGISTERED SEX OFFENDERS, ARE NOT MARRIED, OR ARE NOT OTHERWISE LEGALLY OR ETHICALLY UNAVAILABLE.

You should not assume any DearUs member has been screened for criminal history, sex offender status, or marital status. Always research a person you meet through the Service. Public sex offender registries are available at:

State-specific registries: Available through your state's Department of Justice.

9.2 Safety Tips for Meeting in Person

DearUs introduces you to real people. Meeting in person carries real risks. We strongly recommend:

Meet for the first time in a public place during daylight.
Tell a friend or family member where you will be and who you are meeting.
Do not share your home address until you trust the other person.
Do not give money, financial information, or sensitive personal information to anyone you meet through DearUs.
Trust your instincts. If something feels wrong, leave.
Report concerning behavior to trust@dearus.ai.

9.3 Romance Fraud Awareness

We monitor for and act on romance fraud signals, but no system is perfect. Be cautious of:

Members who profess love quickly.
Members who ask for money for travel, emergencies, or investment opportunities.
Members who refuse to video chat or meet in person.
Members whose photos appear inconsistent with their profile claims.

DearHim, Inc. will never ask you to send money to anyone. Anyone who claims to be from DearHim and asks for money is committing fraud.

9.4 Limitation Specific to DearUs

DEARHIM, INC. IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY DEARUS MEMBER, ON OR OFF THE SERVICE. You assume all risk of interactions with other members, online or in person. We are a technology platform that facilitates introductions; we do not guarantee compatibility, the truthfulness of any member's representations, or the safety of any in-person interaction.

9.5 Reporting and Removal

You may report any DearUs member at any time through the in-app reporting feature or by emailing trust@dearus.ai. We will investigate and may remove, suspend, or ban members who violate these Terms or pose a safety risk.

10. Third-Party Services

The Service integrates with Anthropic (AI), ElevenLabs (voice), Replicate (images), Stripe (payments), Clerk (authentication), Supabase (database), Twilio (SMS), Vercel (hosting), and our identity verification provider for DearUs (TBD). Your use is also subject to their terms. We are not responsible for the acts or omissions of third-party providers.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted, timely, secure, or error-free.
Results will be accurate, reliable, or complete.
AI-generated content, advice, text analysis, reply suggestions, or DearUs match suggestions will be accurate, appropriate, or suitable.
Any DearUs member is who they claim to be, has been screened, or is suitable for any purpose.
Errors will be corrected.
The Service meets your expectations.

You acknowledge that AI-generated content and matchmaking suggestions are inherently imperfect and may produce incorrect, inappropriate, biased, or misleading results. You use the Service at your own risk.

12. Limitation of Liability

12.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEARHIM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF DEARHIM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEARHIM'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DEARHIM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

12.3 Specific Disclaimers

DearHim specifically disclaims liability for:

Reliance on AI-Generated Content: Actions you take based on AI advice, analysis, or suggestions.
DearUs Member Conduct: Any harm caused by another DearUs member, on or off the Service. This includes physical injury, sexual misconduct, fraud, harassment, stalking, defamation, or any other harmful conduct by a person you meet through DearUs.
In-Person Meetings: Any incident occurring during or as a result of meeting another person in real life.
Match Quality: Matches that prove incompatible, dishonest, or unsuitable.
Emotional or Psychological Impact: Distress, harm, or negative experiences arising from interactions with AI characters or DearUs members.
Third-Party Interactions: Outcomes from interactions with real people influenced by Service-generated content.
SMS Messages: Costs or inconvenience from opted-in SMS.
Data Loss: Loss of data except for our gross negligence or willful misconduct.

12.4 Basis of the Bargain

These limitations are fundamental elements of the bargain between you and DearHim, and DearHim would not provide the Service without them.

12.5 Jurisdictional Variations

Some jurisdictions do not allow certain disclaimers or limitations. The above limitations apply to the maximum extent permitted by your jurisdiction.

13. Indemnification

You agree to indemnify, defend, and hold harmless DearHim, its officers, directors, employees, agents, licensors, and service providers from claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of:

Your use of or access to the Service.
Your violation of these Terms.
Your violation of any third-party right, including intellectual property, publicity, confidentiality, or privacy rights.
Content you submit, upload, or transmit.
Your violation of any law or regulation.
(DearUs) Your interactions with any DearUs member, online or in person.
(DearUs) Any misrepresentation in your DearUs profile.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating formal proceedings, contact legal@dearhim.ai and attempt to resolve the dispute informally for at least 30 days.

14.2 Binding Arbitration

If we cannot resolve a dispute informally, you and DearHim agree to resolve all disputes through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration in English, in the county where you reside (or, at your election, Los Angeles County, CA). The arbitrator's decision is final and binding.

14.3 Class Action Waiver

YOU AND DEARHIM AGREE EACH PARTY MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14.4 Exceptions

Either party may bring an individual action in small claims court. Either party may seek injunctive relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.

14.5 Opt-Out

You may opt out of arbitration and class action waiver provisions by sending written notice to legal@dearhim.ai within 30 days of first accepting these Terms. Include name, email, and statement opting out.

14.6 Limited Carve-Out for Sexual Misconduct

Pursuant to the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2021 (Public Law 117-90), if you have a dispute relating to a claim of sexual assault or sexual harassment, you may elect not to arbitrate that dispute and instead bring it in court. This applies regardless of the arbitration provisions above.

15. Governing Law

These Terms are governed by California law without regard to conflict of law provisions. To the extent arbitration does not apply, you consent to the exclusive jurisdiction of state and federal courts in Los Angeles County, California.

16. Termination

16.1 Termination by You

You may terminate at any time through the Service or by contacting support@dearhim.ai.

16.2 Termination by Us

We may suspend or terminate your account at any time, with or without cause or notice, including if we believe:

You violated these Terms.
You are under 18.
Your use poses a risk to other users, third parties, or DearHim.
Your account has been inactive for an extended period.
Continued provision is not commercially viable.
(DearUs) You are a registered sex offender, you have committed fraud or misconduct on the Service, you misrepresented yourself, or you have been reported by other members for serious safety concerns.

16.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. We are not obligated to maintain, return, or provide copies of Your Content. Surviving sections include 5.1, 6, 11, 12, 13, 14, 15, 18.

16.4 Refunds Upon Termination

If we terminate without cause (e.g., service discontinuation), we will refund the unused portion of any prepaid subscription. If we terminate for cause (your violation of these Terms), no refund is owed except as required by law.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Community Guidelines, Acceptable Use Policy, and any product-specific addenda, constitute the entire agreement.

17.2 Severability

If any provision is unenforceable, it shall be limited or eliminated to the minimum extent necessary; remaining provisions remain in full force.

17.3 Waiver

Our failure to enforce any right shall not constitute a waiver.

17.4 Assignment

You may not assign your rights without our consent. We may assign our rights without restriction.

17.5 Force Majeure

We are not liable for failures or delays caused by events beyond our reasonable control.

17.6 Notices

We may provide notices by email, through the Service, or by posting on our website. You may provide notices to legal@dearhim.ai.

17.7 Headings

Section headings are for convenience only.

18. Assumption of Risk

You acknowledge and agree:

AI-generated content may be inaccurate, incomplete, biased, inappropriate, or offensive.
AI characters are fictional; their responses do not reflect views of DearHim or any real person.
The Service is not designed for crisis intervention, mental health treatment, medical, legal, or financial advice.
AI-generated dating advice, text analysis, and reply suggestions are at your own risk.
Emotional connections with AI characters are simulated.
AI characters do not have consciousness, feelings, or awareness.
(DearUs) Other DearUs members are real people whose identities, intentions, and conduct DearHim does not warrant or guarantee.
(DearUs) Meeting members in person carries inherent physical, emotional, and financial risks. You assume all such risks.

19. Modifications to Service and Terms

19.1 Service Modifications

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

19.2 Terms Modifications

We may revise these Terms by posting an updated version with an updated "Last Updated" date. Material changes will be communicated via email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

For DearUs, material changes affecting matchmaking practices, profile data, member conduct, or refund rights require renewed opt-in consent.
